By requesting an account, accessing, or using the Lexfyle platform, you agree to be bound by these Terms, together with our Privacy Policy and any additional policies referenced herein.
If you are accepting these Terms on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
If you do not agree to these Terms, you must not access or use the Lexfyle platform.
2. About Lexfyle
Lexfyle™ is a division of Ontario Business Central Inc. and is a secure Software-as-a-Service (SaaS) platform developed for Approved Organizations requiring access to business registry products and services.
The platform provides corporate searches, Corporate Profile Reports, Certificates of Status, document retrieval services, and other business registry products. As the platform continues to evolve, additional services, including compliance filings, business registrations, incorporations, and other software features, may be introduced.
Lexfyle is a private company. Although the platform facilitates products and services available through government business registries, Lexfyle is not a government agency.
3. Eligibility and Account Approval
Access to the Lexfyle platform is limited to Approved Organizations.
Organizations wishing to use the platform must submit an account request. Submission of an account request does not guarantee approval.
Eligible organizations may include, but are not limited to:
- Law firms
- Accounting firms
- Financial institutions
- Search houses
- Government organizations
- Corporations
- Other professional or commercial organizations approved by Lexfyle
As part of the approval process, Lexfyle may verify information relating to the organization and the individual requesting access. This may include, where applicable:
- Organization name
- Business address
- Professional or business email address
- Organization website
- Professional licence or membership number
- Corporate registration information
- Authority to act on behalf of the organization
- Intended use of the platform
- Any additional information reasonably required to verify eligibility or protect the security and integrity of the platform
Lexfyle reserves the right to approve, decline, suspend, or terminate any account request at its sole discretion.
4. Accounts and Authorized Users
Each Approved Organization is responsible for maintaining the confidentiality and security of its account.
The Organization Administrator may authorize additional Authorized Users and is responsible for managing user access, permissions, and account administration.
Approved Organizations agree to:
- maintain accurate account information;
- protect usernames, passwords, and authentication methods;
- promptly notify Lexfyle of any unauthorized access or suspected security incident; and
- ensure that all Authorized Users comply with these Terms.
Approved Organizations are responsible for all activity conducted through their account.
5. Products and Services
Lexfyle provides software, products, and services designed to assist Approved Organizations with business registry transactions and related compliance activities.
While Lexfyle makes reasonable efforts to provide accurate and reliable services, Approved Organizations remain responsible for reviewing all information submitted and ensuring that filing instructions are complete and accurate before submission.
5A. Changes to Services and Account Settings
Certain products and services requested through Lexfyle are processed electronically through direct integration with the applicable government system and may be completed immediately upon submission. Approved Organizations are responsible for reviewing and confirming all information and instructions before submitting a request.
Once a filing, search, order, or other transaction has been submitted for processing, it may not be possible to change or cancel the request. Where information must be updated or changed after completion, a new filing, amendment, or additional service request may be required, together with any applicable government and service fees.
Approved Organizations may manage certain account settings and services directly through the Lexfyle client dashboard. Depending on the features available to the Organization, this may include:
- adding, modifying, or removing Authorized Users and managing their account access;
- updating permitted account or organization information;
- adding additional Lexfyle services; and
- selecting enhanced services or features that may become available through the platform.
Changes made through the client dashboard will be applied to the Organization’s account in accordance with the functionality and service options available at the time.
If an Approved Organization requires assistance with a change that cannot be completed through the client dashboard, the Organization may contact Lexfyle for assistance.
6. Fees and Payment
Government fees, where applicable, are separate from Lexfyle’s service fees unless otherwise stated.
Payment is required before products or services are processed unless other billing arrangements have been approved.
Applicable taxes will be added where required by law.
Refund requests are subject to Lexfyle’s Refund Policy.
